KaidoPlan 销售条款

本条款适用于 KaidoPlan（下称「本应用」）的付费版本 KaidoPlan Pro 的购买与使用。

1. 谁在销售

• 直装版（从本网站下载）：由 Paddle.com Market Ltd（下称 Paddle）作为记录商户（Merchant of Record）销售。Paddle 是订单在法律意义上的卖方，负责收款、开具发票、代收代缴各地税费以及处理退款。你的银行卡对账单上会出现 Paddle 的名称，而不是 KaidoPlan。
• Mac App Store 版：由 Apple 销售，适用 Apple 的媒体服务条款与退款政策。

本网站只负责产品本身：软件、许可证签发与技术支持。

2. 授权范围

• 购买后你获得个人、非独占、不可转让的使用许可，可在购买时标明的设备台数上激活 KaidoPlan Pro。
• 许可期内可免费获得本应用的更新。
• 许可不得转售、再分发、出租，也不得用于向第三方提供与本应用实质相同的服务。

3. 许可文件与激活

直装版通过 license.json 许可证文件激活，文件在你付款后由邮件送达。许可证与本应用绑定，请勿公开分享——公开的许可证会被吊销。

4. 订阅与到期

KaidoPlan Pro 按年订阅。订阅到期且未续费时，Pro 功能（交付报告导出、CLI 与 MCP 服务）停止工作，已有的 .kaido 项目文件不受影响，仍可用免费功能打开与编辑。我们不删除你的任何数据。

5. 禁止行为

• 绕过或破坏许可证校验机制；
• 对应用进行反向工程、反编译或修改后分发（法律明文允许的情形除外）；
• 使用本应用从事违法活动。

6. 免责

本应用按「现状」提供。在适用法律允许的最大范围内，我们不对因使用或无法使用本应用造成的间接损失、利润损失或数据丢失承担责任。本应用不提供任何形式的项目结果担保——它帮助你管理计划，不替代你的专业判断。

7. 条款变更

我们可能更新本条款。价格与授权范围的实质性变更只对变更之后的新订单生效，已购买的许可按购买时的条款执行。

KaidoPlan Terms of Sale

These terms apply to purchases of KaidoPlan Pro, the paid tier of KaidoPlan (the app).

1. Who is selling

• Direct download (from this site): sold by Paddle.com Market Ltd (Paddle) as Merchant of Record. Paddle is the seller of record for your order and handles payment, invoicing, VAT/sales tax and refunds. Paddle, not KaidoPlan, will appear on your card statement.
• Mac App Store: sold by Apple under Apple's Media Services Terms and refund policy.

This site is responsible only for the product itself: the software, licence issuance and support.

2. Licence scope

• A purchase grants a personal, non-exclusive, non-transferable licence to activate KaidoPlan Pro on the number of devices stated at checkout.
• Updates are included for the duration of the licence.
• The licence may not be resold, redistributed or rented, nor used to provide a service substantially similar to the app to third parties.

3. Licence file and activation

Direct-download builds are activated with a license.json file emailed to you after payment. The licence is bound to the app; do not share it publicly — publicly posted licences are revoked.

4. Subscription and expiry

KaidoPlan Pro is billed annually. If a subscription expires without renewal, Pro features (delivery report export, CLI and MCP server) stop working. Your existing .kaido files are unaffected and remain readable and editable with the free feature set. We never delete your data.

5. Prohibited use

• Circumventing or breaking the licence check;
• Reverse engineering, decompiling or distributing modified builds, except where mandatorily permitted by law;
• Using the app for unlawful purposes.

6. Disclaimer

The app is provided "as is". To the maximum extent permitted by law, we are not liable for indirect damages, lost profits or data loss arising from use of, or inability to use, the app. The app makes no guarantee about project outcomes — it helps you manage a plan, it does not replace your professional judgement.

7. Changes

We may update these terms. Material changes to price or licence scope apply only to orders placed after the change; existing licences keep the terms in force at purchase.
